Client Responsibilities
As a client of Brevo Referral, you agree to the following responsibilities:

Respond Promptly to Requests: You agree to respond promptly to any requests for information, feedback, or approvals from our team. Timely communication and collaboration are essential for the success of our engagements.
Comply with Applicable Laws and Regulations: You agree to comply with all applicable laws, regulations, and industry standards in your use of our services.
Refrain from Unethical or Unlawful Activities: You agree to refrain from engaging in any unlawful or unethical activities that may harm our company, employees, or reputation.
Provide Necessary Access and Permissions: You agree to provide our team with the necessary access to your online accounts, platforms, and systems to effectively deliver our services.
Maintain Confidentiality: You agree to maintain the confidentiality of any confidential information disclosed by Brevo Referral.

Failure to fulfill these client responsibilities may result in delays, suboptimal results, or termination of our engagement, at the sole discretion of Brevo Referral.
Intellectual Property Rights
All intellectual property rights in the services provided by Brevo Referral, including but not limited to copyrights, trademarks, and trade secrets, remain the property of Brevo Referral or its licensors. You are granted a limited, non-exclusive, non-transferable license to use our services for the duration of your engagement with us.
You do not own the intellectual property rights to the work we create for you, such as website designs, content, or advertising campaigns. However, you are granted the right to use these materials for your business, as long as you comply with the terms of this agreement. You agree not to modify, reproduce, distribute, or create derivative works from any intellectual property owned by Brevo Referral without prior written consent.
If you provide us with any of your intellectual property, such as logos, trademarks, or copyrighted materials, you grant us a limited, non-exclusive license to use that intellectual property for the purpose of delivering our services to you.
Confidentiality
Both Brevo Referral and our clients agree to maintain the confidentiality of any confidential information disclosed during the course of our engagement. Confidential information includes trade secrets, business plans, financial information, and client data.
You, as the client, also agree to maintain the confidentiality of any proprietary information disclosed by Brevo Referral. Confidentiality obligations survive termination or expiration of the agreement and remain in effect for one year.
If either party is required to disclose confidential information by law or court order, they shall notify the other party promptly and cooperate to preserve the confidentiality.
Limitation of Liability
Brevo Referral shall not be liable for any indirect, special, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service or campaign in question.
This limitation of liability does not apply in cases of gross negligence, willful misconduct, or fraud.
Indemnification
The client agrees to indemnify and hold harmless Brevo Referral, its officers, directors, employees, and agents from any claims, damages, or expenses arising out of the client’s use of our services or violation of these terms.
For example, if a client uses our services to create and distribute content that infringes on the intellectual property rights of a third party, the client will be responsible for defending against any legal action brought by that third party.
Termination
Either party may terminate the engagement at any time by providing written notice. In the event of termination, the client shall be responsible for all fees and expenses incurred up to the date of termination.
Both parties agree to work together in good faith to ensure a smooth transition and minimize disruption.
Governing Law and Jurisdiction
These terms and conditions shall be governed by the laws of Colorado. Any disputes arising out of or related to these terms shall be resolved in the courts of Colorado.
Miscellaneous Provisions
- Entire Agreement: These terms constitute the entire agreement and supersede any prior understandings.
- Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in effect.
- Assignment: The client may not assign or transfer these terms without prior written consent.
- Force Majeure: Neither party shall be liable for failure to perform due to events outside its reasonable control.
- Notices: All notices must be in writing and delivered to the addresses provided by the parties.
- Waiver: Failure to enforce a provision does not constitute a waiver.
- Survival: Provisions related to confidentiality, intellectual property, liability, and indemnification survive termination of the agreement.
